Use of Service

1.1 Eligibility By using our Service, you represent and warrant that you are authorized to enter into a binding contract on behalf of your company or organization.

1.2 License Grant Subject to your compliance with these Terms and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Pro ERP Solution software for your internal business operations.

1.3 Restrictions You agree not to:

  • Reverse engineer, decompile, or disassemble the source code of our software.
  • Share your account credentials with unauthorized third parties.
  • Use the Service for any unlawful purpose or in any way that violates local, state, or national laws.
  • Resell, sublicense, or distribute the software to any third party without our prior written consent.

User Accounts and Security

To access the ERP features, you may be required to register an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

Client Data and Ownership

3.1 Your Data You retain all rights, title, and interest in and to the data, files, and information that you upload or input into Pro ERP Solution (“Client Data”). We do not claim ownership of your data.

3.2 Responsibility You are solely responsible for the accuracy, quality, integrity, legality, and intellectual property ownership of your Client Data.

3.3 Data Backup While we perform regular backups of our cloud systems, you are responsible for maintaining your own copies of your Client Data. We are not liable for any loss of data caused by errors, system failures, or cyber-attacks beyond our reasonable control.

Intellectual Property

The Service and its original content (excluding Client Data), features, and functionality are and will remain the exclusive property of Pro ERP Solution and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Pro ERP Solution.

Payment and Subscription

5.1 Fees Access to certain parts of the Service (e.g., Premium Modules, Cloud Hosting) may be subject to fees. You agree to pay all fees in accordance with the pricing and payment terms presented to you at the time of purchase or as set forth in a separate Master Services Agreement.

5.2 Late Payments Failure to pay invoices by the due date may result in the suspension or termination of your access to the Service.

Disclaimer of Warranties

The Service is provided on an “AS IS” and “AS AVAILABLE” basis. Pro ERP Solution makes no representations or warranties of any kind, express or implied, regarding the operation of the Service or the information, content, or materials included therein.

We do not warrant that:

  • The Service will function uninterrupted, secure, or available at any particular time or location.
  • Any errors or defects will be corrected immediately.
  • The Service is free of viruses or other harmful components.

Limitation of Liability

In no event shall Pro ERP Solution, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use the Service.
  • Any conduct or content of any third party on the Service.
  • Unauthorized access, use, or alteration of your transmissions or content.

Our total liability for any claims arising under these Terms shall not exceed the amount you paid us to use the Service in the 12 months prior to the cause of action.

Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

Governing Law

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or related to these Terms shall be instituted exclusively in the courts of pune.

Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any significant changes on this page. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
